Terms of Use
The agreement between you and Your Pocket Planner for using the service.
Effective date: to be set on adoption.
1. The Short Version
These Terms govern your use of Your Pocket Planner. They are a binding contract between you and the Company, so please read them. The plain-language summary below highlights the points that matter most. The legal detail follows in the numbered sections.
- Your Pocket Planner is a financial planning and education service for Canadians. It is not a financial advisor, a securities dealer, or a fiduciary. We do not recommend specific investments, tell you what to buy or sell, or manage your money.
- You are responsible for your own financial decisions. Our service is one input, not a substitute for professional advice tailored to your situation.
- You agree to be honest with us. The plan we generate is only as accurate as the information you provide.
- We charge a subscription fee. Pricing terms, including any rate-lock commitments by tier, are described in Section 6 and on our pricing page.
- We can change these Terms with reasonable notice. We will not change them retroactively to your detriment.
- If something goes wrong, our liability is limited as described in Section 12. Some limits do not apply where prohibited by law.
2. About Us and the Service
Your Pocket Planner is owned and operated by a corporation to be incorporated under the Business Corporations Act (Alberta). The exact legal name will be inserted on incorporation and before adoption of these Terms. References to "we," "us," or "the Company" in these Terms mean that entity. References to "you" or "your" mean the individual who accepts these Terms and uses the service.
The service consists of:
- A web-based application that helps you build a personalized financial plan and project your situation forward.
- An AI-powered planning assistant ("N.I.E.L.") that answers questions, explains concepts, and proposes structured updates to your plan for your confirmation.
- Educational content about Canadian personal finance, including taxation, retirement, investing concepts, risk management, and estate planning.
- Regular check-ins, prompts, and reminders to keep your plan current as your circumstances change.
3. Scope of Service and Important Limitations
Your Pocket Planner is a planning and education tool. The following limitations are central to what we are and what we are not. Please read them carefully.
3.1 What we do NOT do
- We are not a Financial Planner or Financial Advisor as those terms are regulated in any Canadian province or territory. No employee, contractor, founder, or other person acting on our behalf holds themselves out as such in connection with the service.
- We do not recommend specific securities, mutual funds, ETFs, segregated funds, annuities, insurance products, or any other financial product. We do not tell you what to buy or sell. We do not provide trade instructions.
- We do not manage your money. We have no custody of your assets and no trading authority on your accounts.
- We do not provide tax advice, legal advice, accounting advice, or any other regulated professional advice. The service contains general educational content about these topics, and our planning calculations use Canadian tax rules, but this is not a substitute for advice from a qualified professional licensed in your jurisdiction.
- We do not act as your fiduciary. Decisions about your finances are yours alone.
- We do not guarantee any particular financial outcome. Projections are based on the assumptions you and the service apply, and actual results will vary.
3.2 What we do
- We help you organize information about your financial situation.
- We generate personalized projections, plan summaries, and educational explanations based on the information you provide.
- We provide a conversational interface that can answer questions about your plan and about Canadian personal finance concepts.
- We help you keep your plan up to date through regular check-ins.
- We surface general information about strategies that may be relevant to your situation, without recommending specific products.
3.3 Forward-looking projections
Any projection, forecast, or scenario the service produces is illustrative. It is based on assumptions about returns, inflation, contribution rates, tax rules, government benefits, and your life path. Actual results will differ, sometimes significantly. The service makes no guarantee that any projected outcome will be achieved.
4. Eligibility and Your Account
4.1 Eligibility
To use the service, you must:
- Be at least 18 years of age (or the age of majority in your province).
- Be a resident of Canada, other than Quebec. The Service is not offered to Quebec residents at launch.
- Have the legal capacity to enter into a binding contract with us.
- Not be barred from receiving the service under applicable law.
4.2 Your account
- You are responsible for keeping your login credentials confidential. Notify us immediately at hello@yourpocketplanner.ca if you suspect unauthorized access.
- You agree to provide accurate and current information when creating your account, and to update it as your situation changes.
- You may not share your account with anyone else. Each account is for a single individual.
- We may suspend or close accounts that appear inactive, fraudulent, or in breach of these Terms (Section 11).
5. Acceptable Use
When using the service, you agree NOT to:
- Use the service for any unlawful purpose or in violation of any applicable Canadian or foreign law.
- Use the service on behalf of another individual without that individual's informed consent and the appropriate legal authority.
- Submit false, misleading, or fabricated information to manipulate the output of the service.
- Attempt to access, probe, or test the security of the service, its infrastructure, or accounts other than your own.
- Reverse engineer, decompile, or attempt to derive source code, models, or proprietary methods of the service, except to the extent that applicable law expressly permits this notwithstanding a contractual prohibition.
- Use the service to develop a competing product, including by training machine learning models on the service's outputs or interactions.
- Scrape, crawl, or otherwise systematically extract content or data from the service without our prior written consent.
- Resell, sublicense, or otherwise commercially exploit the service or any portion of it, except as expressly permitted by us in writing.
- Use the service to harass, abuse, or harm any person, including any employee or contractor of the Company.
- Interfere with or disrupt the integrity or performance of the service, including through denial-of-service activity.
6. Subscriptions, Fees, and Pricing
6.1 Plans and pricing
The Service is offered on a subscription basis. Current plans, prices, billing cadence, and applicable Canadian taxes (GST, HST, PST, or QST as applicable) are published on our pricing page at yourpocketplanner.ca/pricing and are incorporated into these Terms by reference. Any plan-specific terms (including rate-lock commitments) are described on the pricing page and apply to the relevant plan.
6.2 Rate-lock and price changes
Where a specific plan includes a rate-lock commitment for the duration of an active subscription, that commitment is described on the pricing page and applies to the affected plan. For all other plans, including the Standard tier, prices are subject to change with reasonable notice.
If we change the price of your plan in a way that does not honour a rate-lock commitment, we will:
- Provide notice by email at least 30 days before the change takes effect.
- Allow you to cancel before the change takes effect without paying the new price.
We do not describe any plan as having a price that is "locked forever," "permanent," or guaranteed never to change. Rate-lock applies only as described on the pricing page and only while your subscription remains active.
6.3 Billing
- We bill subscriptions through our payment processor Stripe, Inc..
- Subscriptions renew automatically on the cadence shown at sign-up (monthly or annually) until you cancel.
- Applicable Canadian taxes (GST, HST, PST, QST as applicable) are added to the listed price unless stated otherwise.
- Failed payments may result in suspension of your subscription after reasonable retry. If you do not resolve the failure within 15 days, your account may be closed under Section 11.
6.4 Refunds
We offer a 14-day money-back guarantee for first-time subscribers, available within 14 days of your first paid subscription period. For annual plans cancelled mid-term, we may offer a pro-rata refund at our discretion. Refunds are processed through the original payment method within a reasonable period after approval. Promotional pricing and trials may be subject to different refund terms communicated at the time they are offered.
6.5 Cancellation
You can cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. You retain access to the service until then and are not charged for any future periods.
7. Trials and Beta Features
From time to time, we may offer free trials, promotional pricing, or early-access ("beta") features. These are subject to the additional terms communicated at the time they are offered. Beta features may be modified or withdrawn at any time, may behave unpredictably, and are provided on an "as is" basis to a greater extent than other parts of the service.
8. Intellectual Property
8.1 Our content
The service, including its software, models, calculations, content, designs, names, logos, and trademarks, is owned by the Company or our licensors and is protected by Canadian and international intellectual property law. Subject to your compliance with these Terms, we grant you a personal, non-exclusive, non-transferable, revocable licence to access and use the service for your own personal, non-commercial use.
This licence does not grant you any right to:
- Use any Company trademark, trade name, or logo without our prior written consent.
- Copy, distribute, publicly display, or create derivative works of the service or its content, except as expressly permitted in these Terms or by applicable law.
8.2 Your content
You retain ownership of the information you submit to the service ("Your Content"), including the personal information you enter and any documents you upload. You grant the Company a worldwide, royalty-free, non-exclusive licence to host, process, transmit, and display Your Content solely as necessary to operate the service, support your account, and meet our legal obligations. This licence ends when Your Content is deleted from our systems in accordance with our Privacy Policy.
8.3 Feedback
If you send us feedback, suggestions, or ideas, we may use them without obligation to you. We will not identify you as the source of feedback without your permission.
8.4 Outputs of the service
Subject to these Terms, you may use the outputs of the service (projections, summaries, plan documents) for your personal financial planning. You may share them with your accountant, lawyer, or other professional advisors. You may not redistribute the underlying service, models, or proprietary content without our written consent.
9. Third-Party Services
The service depends on third-party providers (for example, cloud hosting, AI vendors, payment processing). Their performance and availability are outside our control. We do not endorse, and are not responsible for, any third-party website, product, or service that we link to or that you access in connection with the service.
10. Disclaimers
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:
- The service is provided on an "as is" and "as available" basis. We do not guarantee that it will be uninterrupted, error-free, secure against all threats, or compatible with every device or browser.
- Plan outputs and projections are estimates based on assumptions. They are not guarantees of future results, returns, tax outcomes, government benefits, or any other financial outcome.
- Educational content reflects our understanding of Canadian financial rules as of the date it is published. Rules change. We will use reasonable efforts to keep content current but make no warranty as to its accuracy or completeness on any particular date.
- We disclaim, to the extent permitted by law, all implied warranties (including merchantability, fitness for a particular purpose, and non-infringement) and any duty of advice or fiduciary obligation.
Some jurisdictions do not permit the exclusion of certain warranties. Where this is the case, the excluded warranties apply only to the minimum extent required by that law.
11. Suspension and Termination
11.1 By you
You may cancel your subscription and close your account at any time from your account settings or by contacting hello@yourpocketplanner.ca.
11.2 By us
We may suspend or close your account, with or without notice, if:
- You have breached these Terms in a material way.
- We reasonably believe that continued use of the service by you would expose us, you, or another user to legal, security, or financial risk.
- You have not paid amounts due after a reasonable opportunity to cure.
- We are required to do so by law, regulator, or court order.
- We decide to discontinue the service, in which case we will provide at least 30 days' notice where feasible and a pro-rata refund of any unused subscription fees.
11.3 Effect of termination
On termination, your right to use the service ends and we will treat your personal information in accordance with our Privacy Policy. Sections that by their nature should survive termination (including Intellectual Property, Disclaimers, Limitation of Liability, Governing Law, and General Provisions) will continue to apply.
12. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AND EXCEPT FOR LIABILITIES THAT CANNOT BE LIMITED UNDER APPLICABLE LAW (INCLUDING GROSS NEGLIGENCE, FRAUD, AND WILFUL MISCONDUCT):
- The Company is not liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including lost profits, lost savings, lost opportunities, or damages for emotional distress, arising out of or relating to the service or these Terms, even if we have been advised of the possibility of such damages.
- The Company's aggregate liability to you for all claims arising out of or relating to the service or these Terms is limited to the greater of (a) the fees you paid to the Company in the 12 months immediately preceding the event giving rise to the claim, or (b) CAD $500.
These limitations apply regardless of the legal theory under which a claim is brought (contract, tort, statute, or otherwise) and are an essential basis of the bargain between you and us.
Some jurisdictions do not permit the limitation or exclusion of certain damages. Where this is the case, the limitations apply only to the maximum extent permitted by that law.
13. Indemnity
You agree to indemnify, defend, and hold harmless the Company, its directors, officers, employees, contractors, and agents from any third-party claim, demand, loss, or expense (including reasonable legal fees) arising out of or relating to:
- Your breach of these Terms.
- Your violation of any law or third-party right.
- Information you provided to the service that was false, misleading, or unauthorized.
- Your use of the service in a manner not contemplated by these Terms or the Privacy Policy.
14. Changes to These Terms
We may update these Terms from time to time. If a change is material, we will notify active users by email or in-product notice at least 30 days before it takes effect, except where a shorter period is required by law. If you do not agree to the change, you can cancel your subscription before it takes effect. Continued use after the effective date constitutes acceptance of the updated Terms.
Changes will not apply retroactively to disputes arising before the effective date, unless required by law.
15. Governing Law and Disputes
These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein without regard to conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that cannot be resolved through good-faith discussion will be submitted to the exclusive jurisdiction of the courts of the Province of Alberta. Counsel to confirm whether a mediation or arbitration step should be added in light of Canadian consumer-protection statutes applicable in your province of residence.
Nothing in this section prevents either party from seeking injunctive relief in a court of competent jurisdiction, or you from making a complaint to a regulator (including the Office of the Privacy Commissioner of Canada or a provincial privacy regulator) as described in our Privacy Policy.
16. Communications and Notices
We will send service-related notices to the email address associated with your account. It is your responsibility to keep that email address current. Marketing emails are governed by our Privacy Policy and Canada's Anti-Spam Legislation (CASL); they require your separate express opt-in and you can unsubscribe at any time.
Legal notices to the Company must be sent to hello@yourpocketplanner.ca.
17. General Provisions
17.1 Entire agreement
These Terms, together with the Privacy Policy, Cookie Policy, AI Use Disclosure, and any plan-specific or feature-specific terms we provide at sign-up, constitute the entire agreement between you and the Company in relation to the service.
17.2 Severability
If any provision of these Terms is held to be unenforceable, the remaining provisions remain in full force and effect.
17.3 No waiver
Our failure to enforce any provision is not a waiver of our right to do so in the future.
17.4 Assignment
You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms to an affiliate or to a successor in connection with a merger, acquisition, or sale of substantially all of our assets.
17.5 Force majeure
Neither party is liable for any delay or failure to perform caused by circumstances beyond its reasonable control, including acts of God, war, civil unrest, labour disruption, government action, internet or infrastructure failure, or pandemic.
17.6 Independent contractors
Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and the Company.
17.7 Language
These Terms are provided in English. If we begin offering the Service to Quebec residents in the future, we will provide these Terms in French and comply with Quebec consumer-protection and language law applicable to consumer contracts. Counsel to confirm requirements before any Quebec rollout.
17.8 Headings
Section headings are for convenience only and do not affect the interpretation of these Terms.
